Agreement to Agent Terms

These Agent Terms and Conditions ("Agent Terms") govern your participation as an SMS Agent ("Agent", "you", "your") in the OTPocket platform ("Platform", "we", "us", "our"). By applying to become an Agent or using the OTPocket Agent Android application, you agree to be bound by these Agent Terms in addition to our general Terms of Service.

1. Agent Eligibility and Requirements

1.1 Eligibility Requirements

To become an OTPocket Agent, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have a valid Android device (Android 8.0 or higher) dedicated to OTPocket
  • Have access to one or more active SIM cards
  • Have a stable internet connection
  • Provide accurate and complete information during registration
  • Comply with all applicable laws and regulations

1.2 Device and SIM Requirements

Extra Phone Requirement: You must use a dedicated Android phone for OTPocket. Using your primary personal device is strongly discouraged and may result in privacy concerns.

  • Unused SIMs Preferred: Unused SIM cards are strongly preferred for optimal service delivery
  • Personal SIM Usage: If you use a SIM for personal purposes, you must exclude all apps you use on that SIM from OTPocket usage
  • Privacy Protection: As much as possible, use an extra phone to avoid privacy concerns
  • SIM Availability: SIMs must remain active and online during active OTP sessions

2. Agent Responsibilities

2.1 Operational Responsibilities

As an Agent, you are responsible for:

  • Maintaining SIM Availability: Keeping your SIMs active and online as much as possible
  • Device Management: Ensuring your Android device remains powered on, connected to the internet, and functioning properly
  • App Exclusion Configuration: Properly configuring which apps you use on each SIM to exclude them from OTPocket usage
  • Active Session Management: Not removing SIMs or turning off devices during active OTP sessions
  • Compliance: Following all guidelines, terms, and instructions provided by OTPocket

2.2 Prohibited Activities

You agree NOT to:

  • Remove SIMs during active OTP sessions
  • Use your primary personal device for OTPocket without proper app exclusions
  • Manipulate, interfere with, or attempt to circumvent the OTPocket system
  • Share your Agent account credentials with others
  • Use OTPocket for any illegal, fraudulent, or unauthorized purposes
  • Attempt to access or view OTP codes for personal use
  • Violate any applicable telecommunications or privacy laws

3. Earnings and Payment Terms

3.1 Revenue Share

Agents receive 60% of each successful OTP session. OTPocket retains 40% as a platform fee. This revenue share may be adjusted with 30 days advance notice.

3.2 Earnings Structure

  • Successful Sessions: Earnings are credited to your pending wallet immediately upon successful completion
  • Failed Sessions: Failed sessions earn ₱0. No payment is made for incomplete, expired, or failed sessions
  • Cooldown Period: Earnings remain in pending status for a cooldown period before becoming available for withdrawal
  • Withdrawal: Available earnings can be withdrawn through approved payment methods

3.3 Payment Processing

Payments are processed according to our payment schedule. We reserve the right to withhold payments in cases of suspected fraud, violation of terms, or pending disputes. All payments are subject to applicable taxes and fees.

4. SIM and Device Management

4.1 SIM Activation and Configuration

  • All SIMs are disabled by default and must be manually activated by you
  • You must configure app exclusions for each SIM during activation
  • SIMs become available to the OTPocket pool only after activation and configuration
  • You can enable or disable SIMs at any time through the Android app

4.2 Active Session Lock

When a SIM is assigned to an active OTP session, the SIM configuration is locked until the session completes. You will receive a notification and must not remove the SIM or turn off the device during this time. Removing a SIM during an active session will result in session failure and may affect your account standing.

4.3 Offline Status

If a SIM is removed, the device goes offline, or sync is turned off, the SIM will be marked as offline and unavailable for new sessions. Existing active sessions may fail if a SIM goes offline mid-session.

5. Privacy and Data Protection

5.1 App Exclusion Requirement

You are required to exclude any apps you use personally on each SIM. These apps will not receive OTP codes through OTPocket. Failure to properly configure exclusions may result in privacy issues and account penalties.

5.2 Data Handling

OTPocket processes SMS messages only for active OTP sessions. We do not store OTP contents permanently and follow strict data protection protocols. Your personal communications remain private when properly configured.

5.3 Recommended Practices

  • Use an extra phone dedicated to OTPocket (not your primary device)
  • Prefer unused SIMs over personal SIMs
  • Properly configure app exclusions for all personal apps
  • Do not use SIMs for personal purposes if they are active in OTPocket

6. Quality Standards and Performance

6.1 Success Rate Requirements

Agents are expected to maintain reasonable success rates. SIMs track success counts, failure counts, and success rates. Consistently low success rates may result in account review or suspension.

6.2 Uptime Requirements

Higher SIM availability and uptime result in more earning opportunities. While there is no strict minimum uptime requirement, agents with consistently low availability may receive fewer session assignments.

6.3 Quality Monitoring

OTPocket monitors SIM performance, success rates, and agent compliance. We reserve the right to pause, suspend, or ban SIMs or accounts that fail to meet quality standards or violate these terms.

7. Account Management and Termination

7.1 Account Suspension

We may suspend or terminate your Agent account if you:

  • Violate these Agent Terms or our general Terms of Service
  • Engage in fraudulent, illegal, or unauthorized activities
  • Repeatedly fail OTP sessions due to negligence
  • Fail to maintain required quality standards
  • Provide false or misleading information

7.2 Termination by Agent

You may terminate your Agent account at any time by contacting support. Pending earnings will be processed according to our payment schedule. You must complete any active sessions before termination.

7.3 Withheld Earnings

In cases of account suspension, termination, or disputes, we reserve the right to withhold earnings until the matter is resolved. Earnings may be forfeited in cases of fraud or serious violations.

8. Dispute Resolution and Admin Actions

8.1 Admin Reversal Authority

OTPocket administrators have the authority to reverse session completions, remove agent earnings, and update SIM statistics in cases of:

  • Customer complaints or disputes
  • Detected misuse or fraud
  • Violation of terms
  • Quality issues

8.2 Audit and Logging

All admin actions, reversals, and account changes are logged for audit purposes. You will be notified of significant actions affecting your account or earnings.

9. Limitation of Liability

9.1 Service Availability

OTPocket does not guarantee continuous service availability. We are not liable for:

  • Device failures, network outages, or power interruptions
  • Loss of earnings due to technical issues beyond our control
  • Third-party carrier network problems
  • Service interruptions or maintenance

9.2 Maximum Liability

To the maximum extent permitted by law, OTPocket's total liability to you shall not exceed the total earnings paid to you in the 12 months preceding the claim.

10. Changes to Agent Terms

10.1 Notification of Changes

We may update these Agent Terms from time to time. Significant changes will be communicated via email and in-app notifications at least 30 days in advance.

10.2 Continued Participation

Continued use of the Agent platform after changes become effective constitutes acceptance of the updated terms. If you do not agree, you must terminate your Agent account.

Important: By becoming an OTPocket Agent, you acknowledge that you have read, understood, and agree to be bound by these Agent Terms and Conditions. Failure to comply may result in account suspension, termination, or forfeiture of earnings.
